| If we work together, we will define and implement a project to achieve Rapid Bottom-Line Improvement for your company. We will do this by developing a specific solution for your company based on TOC methods and templates. |

| We will tackle this project in a series of steps. |

| STEP
1 (Initial meeting) – We start by meeting with you and your management team to discuss your current situation and what you are trying to achieve in your company. We will also present our TOC-based approach and how this can help you to achieve Rapid Bottom-Line Improvement. |

| STEP 2 (Information Gathering) – If you decide to go ahead, we will collect the relevant information on your company and the supply chain that you are part of (suppliers and customers) This usually involves visiting some of your facilities, collecting data from your information system and speaking to some of your people. We normally sign a confidentiality agreement at this stage. |

| STEP 3 (Outline Solution Development) – Based on the information collected, we will develop an outline solution to achieve Rapid Bottom-Line Improvement for your company, if possible. At this stage we are usually able to quantify the bottom-line improvement and estimate the investment and timescale required. |
|
| STEP 4 (Outline Solution Presentation) – We will present the outline solution and an estimate of the bottom-line improvement to you and your management team. |
|
|
| NOTE: There
is no charge for the steps up to this point. |
| STEP 5 (Contract Negotiation) – If you decide to continue, we will negotiate a contract to cooperate in a Rapid Bottom-Line Improvement project. |

| At this point the objective of the project will be defined and agreed. Also, we will negotiate and agree the fees for the project on the following basis; |
|
|
• We usually agree a small fee for carrying out the project.
• The bulk of the fee will depend on achieving the results defined in the contract. The contract will define bottom-line results criteria and payment thresholds. |
|
| STEP 6 (Project Planning and Implementation) – We will coach, support, facilitate and work with you to plan and implement the project to achieve Rapid Bottom-Line Improvement for your company. |
